3. Explanation
Please explain in a clear and comprehensive manner why the award of the contract without prior publication in the Official Journal of the European Union is
lawful, by stating the relevant facts and, as appropriate, the conclusions of law in accordance with the directive: (500 words maximum)
Hyde Housing Association Ltd intends to award the Contract to Kodime Limited (KL) pursuant to Regulation 32(2)(b)(ii) and 32(5)(B) of the Public Contracts Regulations 2015 (the Regulations). Hyde is of the view that the Contract can only be awarded to KL because competition is absent for technical reasons; and this constitutes an extension of existing supplies or installations where a change of supplier would oblige the contracting authority to acquire supplies having different technical characteristics which would result in incompatibility or disproportionate technical difficulties in operation and maintenance, as outlined further below.
KL designed and developed the system and wholly own the rights, code and branding of the Komobility product. KL has already supplied, configured, enhanced and supported the marketing module to Hyde. This has been fully utilised for approximately 1 year and has been interfaced to the Hyde website where all applications are received. The data from these applications is incorporated into the database and processed for marketing and analysis purposes. The system has live, real-time interfaces to the Hyde viewing booking application and Share to Buy, Zoopla and RightMove portals.
The implementation of the budget and CRM modules will use the existing database and account.
Hyde is therefore of the view that if it were to seek to procure the Contract in accordance with the Regulations, competition would be absent for technical reasons because no service provider in the market would realistically be able to compete with KL’s offering for the contract, due to KL’s unique service offering and the competitive price it is prepared to offer Hyde for the services. Also, it is Hyde’s view that moving supplier would require a different solution, which would have different technical characteristics that would be incompatible with the current system. This would require investment at a level that would make a different solution uncompetitive in relation to the KL solution.
